These client terms and conditions (these “Terms and Conditions”) govern the provision of any services (the “Services”) to you (“you”, “your”, or “Client”) by New England Drone Tours (the “Company”, “NEDT”, “we”, or “us”). You hereby agree as follows:
 

1. Services:
   1.1 New England Drone Tours LLC shall provide aerial drone photography and videography services ("Services") as agreed upon with the Client.
   1.2 The Services shall be performed by qualified and experienced drone operators employed or contracted by New England Drone Tours LLC. 
    

2. Fees and Payment:
   2.1 The Customer agrees to pay NEDT the agreed-upon fees for the Services rendered.
   2.2 Invoices are due, in full, within 30 days of receipt. Overdue invoices will receive a late fee of 10% of the remaining invoice balance per month until the outstanding balance is settled.
    

3. Appointment Cancellations:
   3.1 The Customer may cancel or reschedule an appointment up to 48 hours in advance without incurring a cancellation fee. 
   3.2 Appointments canceled within 48 hours of scheduled service will incur a cancellation fee equal to 50% of the booked appointment.
   3.3 Cancellations due to inclement weather conditions shall not incur a cancellation fee.
    

4. Property Maintenance:
   4.1 Employees of New England Drone Tours LLC are not responsible for cleaning, moving furniture, or any additional maintenance of the property.
   4.2 The Customer shall ensure that the property where the drone services are to be provided is free from any obstacles or hazards that may hinder the safe operation of the drone.
    

5. Ownership of Video:
   5.1 New England Drone Tours LLC shall retain all rights, title, and interest in any video footage or media captured during the provision of the drone services.
   5.2 The Customer acknowledges and agrees that they have no claim or ownership rights over the video footage or media produced by New England Drone Tours LLC.
    

6. Liability and Indemnification:
   6.1 New England Drone Tours LLC shall exercise due care and follow industry best practices in providing the Services.
   6.2 The Customer agrees to indemnify and hold harmless New England Drone Tours LLC, its employees, and affiliates from any claims, damages, losses, or liabilities arising out of or in connection with the Customer's use of the Services.
    

7. Confidentiality:
   7.1 Both parties agree to treat any confidential information shared during the course of providing or receiving the Services as confidential and not to disclose such information to third parties, except as required by law.
    

8. Governing Law and Jurisdiction:
   8.1 This Agreement shall be governed by and construed in accordance with the laws of the state of Massachusetts, United States.
   8.2 Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in the state of Massachusetts, United States.
    

9. Miscellaneous:
   9.1 This Agreement represents the entire agreement between the Customer and New England Drone Tours LLC and supersedes all prior negotiations, understandings, or agreements, whether oral or written, regarding the subject matter hereof.
   9.2 The failure of either party to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision contained herein.
   9.3 If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
   
    

By engaging the services of New England Drone Tours LLC, the Customer acknowledges that they have read, understood, and agreed to the terms and conditions set forth in this Agreement.
